Triad Advisors LLC Broker, Mark Just, Suspended by FINRA – Indianapolis, Indiana

The Financial Industry Regulatory Authority (“FINRA”) has suspended Triad Advisors LLC broker Mark Just from the securities industry for three months for willfully failing to timely amend his Uniform Application for Securities Industry Registration or Transfer (Form U4) to disclose two state tax liens, which totaled $37,333.80. Mr. Just was also fined $5,000.

Mr. Just is also the subject of numerous customer complaints concerning allegedly unsuitable investment recommendations that he has made to customers involving alternative investments.  According to his public disclosure report, those alternative investments include real estate securities (possibly REITs), business development companies (BDCs), direct participation programs (DPPs), Limited Partnerships (LPs).

FINRA Letter of Acceptance, Waiver, and Consent No. 2019064242701

Mark William Just and FINRA entered into a Letter of Acceptance, Waiver, and Consent (“AWC”) on May 12, 2021, after Mr. Just, while Triad Advisors, LLC, willfully failed to timely amend his (Form U4) to disclose two state tax liens dated January 31, 2017, and February 13, 2018, which totaled $37,333.80.

On December 11, 2018, FINRA’s Registration and Disclosure department notified Triad Advisors, LLC of two liens that appeared on Mr. Just’s credit report but were not disclosed on Mr. Just’s Form U4.

The State of Indiana filed a state tax warrant against Mr. Just on January 31, 2017, for $4,885 (the First Lien). Mr. Just satisfied the First Lien on February 14, 2019. The State of Indiana filed a state tax warrant against Mr. Just on February 13, 2018, for $32,448.80 (the Second Lien). Mr. Just satisfied the Second Lien on April 18, 2018.

By willfully failing to timely amend his Form U4 to disclose his two state tax liens, Mr. Just violated Article V, Section 2(c) of FINRA’s By-Laws and FINRA Rules 1122 and 2010.

Financial Advisor Mark William Just (CRD No. 1138738)

Mark William Just has 37 years of experience in the securities industry and has been associated with seven different firms:

  • Triad Advisors LLC in Indianapolis, Indiana, from January 2004 until the present.
  • Royal Alliance Associates, Inc, from November 1995 to January 2004.
  • Delta Equity Services Corporation, from May 1995 to November 1995.
  • Foundation Investors Securities Corp., from August 1994 to May 1995.
  • Linsco/Private Ledger Corp., from August 1986 to September 1994.
  • Manequity, Inc., from September 1983 to September 1986.

Mr. Just is also the President and Owner of The Just Company, a registered investment advisory firm.

According to his BrokerCheck report, since 2018, Mr. Just has been the subject of at least five customer complaints:

  • Customer Dispute (March 2021): A customer filed a securities arbitration complaint alleging $100,000 in damages as a result of unsuitable investment recommendations related to a real-estate security (possibly a REIT).
  • Customer Dispute (February 2021): A customer filed a securities arbitration complaint alleging $250,000 in damages as a result of unsuitable investment recommendations related to alternative investments, including direct participation programs (DPPs), Limited Partnerships (LPs), and business development companies (BDCs).
  • Customer Dispute (August 2020): A customer filed a securities arbitration alleging unsuitable investment recommendations related to a real-estate security (possibly a REIT).  The customer is seeking $150,000 in damages.
  • Customer Dispute (January 2020): A customer filed a securities arbitration alleging unsuitable investment recommendations related to a variable annuity and a real-estate security (possibly a REIT).  The customer is seeking $100,000 in damages.
  • Customer Dispute (February 2021): A customer filed a securities arbitration complaint alleging $997,269 in damages as a result of unsuitable investment recommendations.  The securities at issue include a variable annuity, corporate debt, equities (common and preferred stock), and a mutual fund.

Triad Advisors LLC – Supervisory Duties

Brokerage firms like Triad Advisors LLC must properly supervise financial advisors and customer accounts.  Brokerage firms must also establish and maintain a reasonably designed system to oversee account activity to ensure compliance with securities laws and industry regulations.   When a brokerage firm fails to sufficiently supervise its financial advisors or the investment account activity, it may be liable for investment losses sustained by customers.
